Terms & Conditions
Please read these Terms and Conditions carefully before using the Valtum platform. By registering a business account or placing an order, you agree to be bound by these Terms. These Terms constitute a legally binding agreement between Valtum Diving ("Valtum") and the registered business entity accessing or using our B2B procurement platform.
1. Platform Description
Valtum is a B2B e-commerce platform designed exclusively for registered commercial diving companies and professional procurement entities. Access is restricted to verified business customers only. Consumer retail purchases are not permitted.
2. Account Registration and Eligibility
To access the platform you must be a legally registered business entity, provide a valid company name and registered address, provide a valid VAT identification number (where applicable), and accept these Terms and our Privacy Policy. We may verify your business status via VIES and may decline or suspend access at our sole discretion.
3. VAT and Tax Compliance
All prices are displayed excluding VAT unless otherwise stated. - Germany (domestic): 19% VAT applied to all transactions. - EU verified businesses (reverse charge): 0% VAT under Article 196 EU VAT Directive; buyer is responsible for accounting for VAT in their jurisdiction. - Non-EU businesses: Export transactions; 0% VAT; applicable customs and import duties are the buyer's responsibility. It is your responsibility to ensure the VAT ID provided is valid and belongs to your registered business entity. Providing false VAT information is a criminal offence.
4. Orders and Procurement
All orders constitute a binding purchase offer. An order is accepted when you receive an order confirmation by email. We may cancel accepted orders in cases of stock unavailability, pricing errors, or suspected fraud, in which case a full refund will be issued. By clicking "Order with obligation to pay" you confirm you are authorised to make purchases on behalf of your registered business.
5. Pricing
All prices are in Euros (EUR) excluding VAT. Prices are subject to change without notice. The price applicable to your order is the price confirmed in your order confirmation email. We are not obligated to honour pricing errors.
6. Payment
Payment is due at the time of purchase unless separate credit terms have been agreed in writing. We use TLS/SSL encryption and do not store payment card details. In the event of non-payment, we reserve the right to suspend your account and pursue recovery of outstanding amounts including statutory interest under the German Late Payment Act.
7. Shipping and Delivery
Shipping costs and estimated delivery timelines are displayed at checkout. Delivery timeframes are estimates only. Title and risk in goods pass to you upon delivery. For large or specialised equipment, freight may be calculated separately and invoiced after order placement.
8. Returns and Cancellations
As a B2B platform, statutory consumer rights of withdrawal do not apply. Returns are accepted if goods are returned within 14 days of delivery, in original unused condition and original packaging, and with a return authorisation number obtained in advance. Custom-configured equipment and consumables are non-returnable unless defective.
9. Warranty and Defective Goods
Products are covered by the manufacturer's warranty where applicable. We provide a statutory 2-year warranty for defects present at the time of purchase under German law (BGB §437 et seq.). To make a warranty claim, contact us within the warranty period with your order number and a description of the defect.
10. Intellectual Property
All content on the Valtum platform — including product descriptions, images, logos, software, and design — is the intellectual property of Valtum Diving or its licensors. You may not reproduce, distribute, or create derivative works without express written permission.
11. Limitation of Liability
Valtum's liability for any claims shall be limited to the value of the transaction giving rise to the claim. We are not liable for indirect, consequential, or punitive damages, loss of profits, or business interruption. Nothing limits our liability for death or personal injury caused by negligence or fraud.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany. The courts of Frankfurt am Main, Germany shall have exclusive jurisdiction to resolve any disputes arising from these Terms, unless mandatory provisions of law in your country of domicile apply.
13. Amendments
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised date. Your continued use of the platform after changes are posted constitutes acceptance of the revised Terms.
